The Hibernian Catholic Benefit Society is a friendly society in New Zealand, with a former associated credit union. It was created in 1869. After a large case of fraud occurring over several years through the early 2000s, in which an employee stole an estimated $1.24 million in society money, the associated credit union had to be wound up, and the society had to default on a large amount of the moneys held for its depositors. However, the society noted that it would continue to exist and strive to fulfill its aims.
If a company is unable to pay its debts as they fall due, UK insolvency law requires an administrator to attempt a rescue of the company (if the company itself has the assets to pay for this). If rescue proves impossible, a company's life ends when its assets are liquidated, distributed to creditors and the company is struck off the register. If a company becomes insolvent with no assets it can be wound up by a creditor, for a fee (not that common), or more commonly by the tax creditor (HMRC).
It was the first Ealing movie directed by Pat Jackson, who had previously made an earlier film about nursing, White Corridors (1951). It was one of the last pair of films made at Ealing Studios, which had been sold to the BBC, and one of the last Ealing movies under the nine-year relationship between Rank and Ealing. (Ealing would move to MGM studios, make several more movies, then be wound up.) It was an early star role for Belinda Lee. It was one of several "sensible girl" parts she played for Rank.
The final day of trading was on Sunday, 25 November. On 20 July, the company faced court over a case with the ATO and the Federal Court declared the Group insolvent and ordered it to be wound up.
The company was to be wound up shortly after. It appears the Templestowe Bridge was operating by this time. In March 1862, a deputation of Eltham residents approached the Commissioner of Railways and Roads, requesting the government to buy the Templestowe Bridge then give it back to the Eltham District Road Board, as while its toll earning capability was not as "remunerative" as had been hoped, the bridge was a "great public convenience". The request was denied. In October 1863 there was a great flood causing the Yarra to rise 12 metres.

It was claimed as a debt due under Shell's redemption notice of 12 December 2008.

His father had a warehouse and warping mill in the village and contracted work out to local weavers. While in Catanzaro, he worked for several years on the "Poseidone" investigation into misuse by politicians of European Community subsidies for sewage filter systems and other business projects in Calabria. The "Poseidone" case was taken away from Luigi de Magistris, and as was the "Why Not" investigation in which the names of well-known politicians have come up. This investigation was due to be wound up after nearly two years and the persons involved formally indicted. Another case that de Magistris has been involved with is "Le Toghe Lucane", in Basilicata.
A creditors' voluntary winding-up is also initiated by the members but (in contrast to a members' voluntary winding-up) where it has been determined that the company is insolvent. The process normally occurs where the board of directors has determined that the company is insolvent and then recommended to the members that it be wound up. However, as noted above, it may also be initiated by a liquidator was originally appointed pursuant to members voluntary winding-up where the liquidator has subsequently formed the opinion that the company is actually insolvent.

The IMMOA's assets were transferred to the ITF's Edo Fimmen Free Trade Union Fund.
Bush therefore pressed for OSRD to be wound up as soon as possible. With its dissolution, Bush and others had hoped that an equivalent peacetime government research and development agency would replace the OSRD. Bush felt that basic research was important to national survival for both military and commercial reasons, requiring continued government support for science and technology; technical superiority could be a deterrent to future enemy aggression. In Science, The Endless Frontier, a July 1945 report to the president, Bush maintained that basic research was "the pacemaker of technological progress".
A view across the washing floors of the Great Snaefell Mine The mine was worked by a main shaft, which followed the dip of the vein. The shaft was rectangular, and divided into three compartments: the middle one was the ladderway; one other compartment was used for winding ore, and the other compartment for the pump and the compressed air pipes. The ore would be wound up in a rough wooden kibble. In the shaft the ventilation was natural, driven by the higher temperature underground compared to above ground.
On 23 June 2017, the European Central Bank and the Single Resolution Board determined BPVi and sister bank Veneto Banca were insolvent, but not yet fulfilled the criteria to put the bank in resolution. The two banks would be wound up by Italian government under Italian laws, into good and bad banks instead. After expressing the interests to acquire some of the good assets (the "good banks") of Veneto Banca and BPVi, a contract was signed on 26 June, between the government and Intesa Sanpaolo. However, FarBanca was excluded from the sales.
In 2007, Chandamama was bought by Geodesic, a Mumbai-based software services provider company. They planned to take the then 60 year old magazine into the digital era. However the magazine is currently defunct as Geodesic itself was found defaulting on outstanding loans and was ordered to be wound up by the Mumbai High Court. As of July 2016, the current status of the magazine is unknown - as the parent company Geodesic is under the liquidation process and the Chandamama brand and IP is expected to be sold off in due course.
Gas handgun magazines usually contain 10 to 30 pellets in a standard capacity magazine; however, some are high capacity magazines and can hold 50 rounds or more. In the case of AEG rifles, magazines come in either real- capacity (equivalent to the capacity of its real steel counterpart), low- capacity (10-50 rounds), mid-capacity (75-160 rounds), or high-capacity (190+ rounds). These magazines are spring-loaded. The high-cap magazines often have a ratchet wheel that can be wound up periodically to force pellets up from the holding chamber of the magazine to the feeding chute.
Ajay Kumar Sharma, who has written a history of educational institutions in Delhi, regards the Delhi Public School Society as "the most important school or society of the post-Partition period". Of the developments leading to its formation, he writes: "Tytler, who was an influential personality in Delhi, was able to garner support from the officials and the public". The new Director of Education, L. R. Sethi, suggested that a new society be formed and the old school be wound up. A new society, the Delhi Public School Society, was set up with Tytler as one of the ten members.
During 2007, Macquarie University faced a restructuring of its student organisation after an audit raised questions about management of hundreds of thousands of dollars in funds by student organisations At the centre of the investigation was Victor Ma, president of the Macquarie University Students' Council (MUSC). Enterprise Bank was formed in August 2011 by taking over the assets and some of the liabilities of the now defunct Spring Bank, whose commercial banking license was revoked. EBL was issued a commercial banking license on 5 August 2011. As of January 2012, the assets of Enterprise Bank Limited are 100% owned by Asset Management Company of Nigeria (AMCON), an arm of the Federal Government of Nigeria. In July 2012, the Federal High Court of Nigeria, in Lagos ordered that the affairs of the defunct Spring Bank Plc be wound up, since its license had been revoked.
In the original game, an android patterned after Miharu took her place after an accident rendered Miharu comatose. Having no experience of the real world beyond certain memories copied from the real Miharu, Jun'ichi was tasked by Koyomi to look after her. Like the real Miharu her enthusiasm often overrules her common sense, and Jun'ichi often has to get her out of sight when her circuits start to overload. As an android, her power sources include bananas, solar energy, and a spring motor that needs to be wound up periodically using a key inserted into a hole on her back.
During the years following, payments were made to the dependents at Christmas (£30) with financial aid also being given for medical and educational purposes. The relief fund continued to pay those dependents until 1955, when with the children of the dependents having grown into adulthood it was decided that the Ben Seyr Relief Fund should be wound up. A meeting was called by the Trustees at the Town Hall, Ramsey, on Monday 17 January 1955, for the purpose of passing a resolution for the winding up of the fund and distributing the balance amongst the last five dependents.Isle of Man Examiner.
There was a counter-suggestion to make the holding company a trading business by buying the businesses of all the subsidiaries but the directors remained divided and in the face of an enormous trading loss for 1931 a court order requested by AGE's bankers for the compulsory winding up of Agricultural & General Engineers Limited was issued 25 April 1932.Agricultural & General Engineers Limited, An Engineering Company To Be Wound Up. During the First World War, business for the studio became increasingly difficult. As chairman of the Sales and Advertising Syndicate, Wallace decided that the company should be wound up voluntarily from December 1914. He later undertook work for the Ministry of Labour and National Service and finally joined the Labour Supply and Housing Division in the Admiralty, working there as an administrative assistant until the end of the war.
It voted to be wound up on 24 March 1910 and its assets were auctioned off on 28 June that year, with Timwood's tunnel long "but still well short of ore- bearing ground". Unlike mine buildings at the hill top, those at Timwood were small and appeared temporary, none being built of stone or brick. The Robey steam engine from the incline winding house was installed to drive the compressor which powered the drills used to create holes for explosive charges. A second small building served as a smithy and the third was a mess and a dry for miners' clothes.

A consortium was looking to complete a solvent takeover of the club. On 31 January 2020, the club was in danger of liquidation as Dale had failed to pay any money to creditors under the terms of the July 2019 CVA. Dale had to pay at least £2m by 11 February or the CVA would be ended; debts totalling around £5m would become immediately due, with creditors able to petition for the club to be wound up. On 14 February 2020, Dale was reported to have defaulted on the plan to settle outstanding debts, casting fresh doubt over Bury's future, and making liquidation more likely.
See originally CA 1862 s 80(4). This contrasts to "bankruptcy" which depended on committing an "act of bankruptcy". The concept is embodied in the Insolvency Act 1986 section 122(1)(f) which states that a court may grant a petition for a company to be wound-up if "the company is unable to pay its debts". This general phrase is, however, given particular definitions depending on the rules for which insolvency is relevant. First, the "cash flow" test for insolvency represented under section 123(1)(e) is that a company is insolvent if "the company is unable to pay its debts as they fall due".
His saloon was closed the following year for unknown reasons, and he opened a new one, "Modern Cinema", in 1915, Which also closed. A pioneer in inaugurating movie-theaters, Areshir Khan was so persistent that he opened the third one, "Khorshid Cinema", in 1917. He usually imported the films he screened in his saloons, and when he failed to import new films, "Khorshid Cinema" was also to close. His fourth attempt led to a roofless cinema located in Amiriye neighborhood and next to main lamp post, which was impeded by the running of his fim projector, and so had it to be wound up on police decree.
The Cain Government tried unsuccessfully to negotiate the sale of the Pyramid Group to one of the Big Four banks, believed to have been Australia and New Zealand Banking Group. In June, withdrawals were suspended for a week and an administrator appointed. On 1 July 1990, the administrator reported that the societies had to be wound up. On the morning of 3 July, the premier affirmed that here was no government guarantee, but it was later announced that ordinary depositors would be recompensed by way of a three-cents-a-litre government levy on the sale of petrol, which remained in force for five years.
All bird box movements have a clock-work motor which must be wound up. This motor is doing two basic jobs: The first one is to operate a small bellows which supplies air, via a wind chest, to a whistle which produces the birdsong and the second task is to rotate a number of cams. One cam controls the note produced by the whistle, a second determines when the note will be produced and for how long, and a third one produces the motion which causes the bird to turn from side to side. In some movements the flapping of the bird's wings and its ability to turn its head are also cam- controlled, in others not.
The move of leagues had little effect on their performance as they continued to struggle for the next two seasons. In 1927–28 heavy defeats of 9–1 and 7–0, to Millwall and Watford respectively, followed by a first-round FA Cup exit to Bournemouth caused Kerr to resign. Lamenting the uninterrupted poor form since World War I, Evening Telegraph's columnist Derek Henderson, who wrote under the pseudonym "Nemo", wrote that "successive managements have either lacked the ambition or the ability to provide us with anything other than a third-rate team". Some fans began to call for the club to be wound up, allowing for a phoenix club to rise in its place.
After various TFL and media-driven merger attempts over a number of years, the Bay moved back to North Hobart Oval in 1994, when the club made its last finals appearance. After finishing second on the ladder during the roster season, they would make it to the Preliminary Final, but the club suffered from a dreadful start to the match and despite a second half rally, ultimately bowed out to New Norfolk by 26-points. From 1995 the Seagulls battled on as more merger attempts were foist upon them, but no more success came its way. In 1997, president Bill Sorell, announced that the club would be wound up at the completion of the season.
This uniform was worn with ankle Ammunition boots; in the field, Puttees would be wound up (or down) the length of the shins, covering the top of the boots. The carrying equipment worn by infantry with this uniform was normally the 1908 Pattern Webbing, made of fabric and also khaki (though a lighter shade than the uniform). Cavalry and gunners of the Royal Regiment of Artillery did not wear webbing equipment, but instead used the leather 1903 Bandolier Equipment, worn over one shoulder. Originally derived from the bandoliers carried by the Boer commandos during the Second Boer War, it had been found to be unsuitable for infantry use but remained in service with mounted troops.
The New Zealand Press Association (NZPA) was a news agency that existed from 1879 to 2011 and provided national and international news to the media of New Zealand. The largest news agency in the country, it was founded as the United Press Association in 1879, and became the New Zealand Press Association in 1942. Following Fairfax New Zealand's withdrawal from NZPA in April 2011, NZPA told staff that it would be wound up over the next four to six months, and ceased operation on 31 August 2011. In May 1856, the Magdalena Steam Navigation Company concluded that the venture was not sufficiently profitable and should be wound up, for which they intended their three vessels, Estrella, Anita and Isabel, which had been operating under the British flag, should be returned to England for sale. However, the company first sought purchasers at Barranquilla in September, with bids to be received by 15 November. Remaining unsold, Estrella and Anita sailed for England on 23 December, but after only two hours steaming Anita developed a serious leak and began sinking in an increasing gale. Some three hours later the boiler of Anita exploded and she sank in deep water, with the loss of half of her crew of 24.
On 7 April the car company MG Rover halted production at its plant in Longbridge, Birmingham, due to financial problems and the company was put into administration. The government attempted to broker a deal with Chinese firm Shanghai Automotive to continue the firms' strategic alliance and buy Rover out. However, talks were unsuccessful and on 12 April the administrators, Price Waterhouse Coopers, announced that production would be wound up, the plant and its assets sold and almost all of the plant's staff made redundant. Around 5,000 jobs will be lost at Longbridge, and many more jobs in local companies and dealerships throughout the UK that had supplied the firm are at risk.
A compulsory liquidation is usually the result of an action taken by one or more creditors of an insolvent company. Compulsory liquidation is a statutory procedure which enables a person to apply to the Court for an order that the affairs of a company be wound-up. A number of different people have locus standi to initiate compulsory liquidation proceedings, including not only the company's creditors (who are the most common applicants), but also the company itself, the company's members, the liquidator, ASIC and (in respect of a general insurance company) the Australian Prudential Regulation Authority (APRA). But in most cases compulsory liquidation will normally be commenced by one or more creditors.
Following the Poetry Society's instigation of its New Generation Poets promotion in 1994, the Poetry Book Society organised two subsequent "Next Generation Poets" promotions in 2004 and 2014. In 2016 the former Poetry Book Society charity which had managed the book club from 1953 had to be wound up, with its director Chris Holifield appointed as the new director of the T.S. Eliot Prize, and with its book club and company name taken over by book sales agency Inpress Ltd in Newcastle. The British Library acquired the Poetry Book Society archive in 1988 and 1996 consisting of organisational papers, correspondence, financial papers, publicity and photographs.Poetry Book Society archive, archives and manuscripts catalogue, the British Library.
At the time, it was one of the two largest parties in Singapore (The other party was Progressive Party (PP), who won the 1948 elections) as both parties had sent more than 20 candidates out of the total 25 seats before the emergence of Labour Front who became the ruling party after the 1955 elections (That sent 17 candidates and won 10 of them) and the People's Action Party that was the ruling party of Singapore after 1959 elections. Despite being the two largest parties in Singapore, the Democratic and Progressive parties decided to merge in order to form the Liberal Socialist Party (LSP) at 5 February 1956, only to be wound up a few years later.

The Federal Court ordered on 23 May 2007 that Macquarie University Union Ltd be wound up. Following the dissolution of Macquarie University Union Ltd, the outgoing student organisation was replaced with a new wholly owned subsidiary company of the university, known as U@MQ Ltd. The new student organisation originally lacked a true student representative union; however, following a complete review and authorisation from the university Council, a new student union known as Macquarie University Students Association (MUSRA) was established in 2009. Parklands at the university Within the first few hundred days of Schwartz's instatement as Vice- Chancellor, the 'Macquarie@50' strategic plan was launched, which positioned the university to enhance research, teaching, infrastructure and academic rankings by the university's 50th anniversary in 2014.
Upon their formation in 1942, Annan entered the Dumfries and District Youth League, but this competition lasted only throughout the war years, and in 1945 they joined the Dumfries and District Junior League instead. They had a fairly successful time as a junior club, reaching the fifth round of the Scottish Junior Cup on one occasion (losing 2–1 to Perth side Jeanfield Swifts). In 1950–51 the Dumfries and District Junior League had to be wound up due to lack of officials, and the following season (1951–52) the club had to go into abeyance as the Junior Association would not release them from their membership. For the following season (1952–1953) Annan Athletic joined the Carlisle and District League and the Cumberland Football Association.
It would be loaded into the tape reader once the compiler had finished being read in, and the compiler tape would be wound back into a tidy reel. The first pass of the source tape through the tape reader was generally used just for checking for syntax errors in the program, so the generation of the object tape from the tape punch would be suppressed. If any errors or warnings were detected, it would be necessary to load the Minisystem tape again, and to run the editor program to make the corrections, and to generate a new version of the source tape. Otherwise, the source tape could be wound up again, and loaded back into the tape reader for a second pass.
On 21 April 2020, the club announced it was going to be wound up after failing to find a £175,000 investment that would have saved the club. The club's directors cited the financial impact of the COVID-19 pandemic as a reason for its demise. The former club's league position under manager Eddie Maurice Jones at the time was at its worst and lowest in the past 30 years which has been erased due to the club's demise. In May 2020, two members of the old club as well as members of the Rhyl Fan Association formed a phoenix club taking Rhyl's place in working in liaison with the RFA to ballot a new name which resulted in CPD Y Rhyl 1879.
The cinema-addict in Pranabendu believes cinema is fit to be seen only in the big screen, and therefore, curses Prakash for denigrating the medium of cinema by selling illegal DVDs. Pranabendu also fears that any day Prakash will be wound up by the Police and that will burn his own hard-earned respect to ashes. Such is his disgust for Prakash that when local political leader Sudhanshu requests Pranabendu to stand in local panchayat elections, Pranabendu turns down the offer by saying he can't face questions from people regarding the illegal nature of the business which his own son runs. Beside the cinema hall, Pranabendu and Prakash attend to their long-time family business of distributing fish to vendors.
The directors are required to give a declaration as to the solvency of the company which must be filed with the Australian Securities and Investments Commission (ASIC). Where a liquidator who is appointed pursuant to a members' voluntary winding-up subsequently determines that the company is in fact insolvent in his opinion (contrary to the solvency declaration made by the board of directors), then the liquidator must either (a) apply to the Court for the company to be wound-up on an insolvent basis, (b) appoint an administrator to the company, or (c) convene a meeting of creditors. If a meeting of the creditors is convened, then from the time of the meeting the winding-up will be treated as a creditors' voluntary winding-up.
The initial rotating light mechanism had to be wound up hourly, and in 1883, the principal lighthouse keeper died when he fell down the central shaft trying to attach weights to the mechanism. In 1977, the number of lighthouse keepers were reduced from two to one due to operational improvements. There was a Committee of Inquiry into lighthouse automation in 1981 and the Dog Island site was one of nine sites throughout New Zealand that was to remain staffed; in this case, it was due to its remoteness, and its ability to help with search and rescue in the area. In August 1989, Dog Island was fully automated and the last permanent lighthouse keeper in New Zealand was withdrawn from service.
Lord Finlay LC relied on subclauses 8 and 12 to say that the company could deal in shares and it was clearly intra vires. He noted section 17 (now Companies Act 2006 section 15(4)) saying the incorporation certificate is conclusive evidence that everything is complied with. Lord Parker noted the argument that a company should be wound up on the ground that its substratum had failed, but dismissed it. He said the two purposes of the objects were to show subscribers what their money was to be used for and show those who dealt with a company the extent of its powers. The narrower the objects, he opined, the less the subscriber’s risk but the wider the objects, the greater the security of those who contract with the company.
The older children also had a hard time trying to prevent what happened a secret from Chris's parents. In this series, Gizmo appeared as a fully fledged functioning robot in the present day rather than as a toy in the second series but still needed to be wound up regularly. Gizmo also has a built-in computer keyboard and a monitor in his chest for Gizmo and Uri to stay in contact with Chris and Joy in the present day as well as transporting to other places in time or returning to the present. The first series of Superbook featured stories chiefly from the Hebrew Scriptures (Old Testament), although a few episodes dealt with the life and ministry of Jesus Christ and the final episode was about the conversion of Paul of Tarsus.
First, for a court to order a company be wound up (and its assets sold off) or for an administrator to be appointed (to try to turn the business around), or for avoiding various transactions, the cash flow test is usually applied: a company must be unable to pay its debts as they fall due. Second, for the purpose of suing directors to compensate creditors, or for directors to be disqualified, a company must be shown to have fewer overall assets than liabilities on its balance sheet. If debts cannot be paid back to everybody in full, creditors necessarily stand in competition with one another for a share of the remaining assets. For this reason, a statutory system of priorities fixes the order among different kinds of creditor for payment.
The Education Act of 1902 determined that secondary education should be accessible to as many children as possible which had financial complications for the GPDSC as it had to provide more free places and cater for increasing numbers of pupils. In 1902 the GPDSC was warned that it would not longer receive grants from the Board of Education after 1903 because it was a dividend-paying company. This date was later extended to 1905 and the GPDSC was reconstituted as the Girls’ Public Day School Trust Limited (GPDST), a limited company with charitable status, in Jan 1906. The new constitution required that the GPDST would have to be wound up by 1 January 1956 if it failed to make an acceptable offer to buy the GPDSC's share capital.
On 8 November 2013 the High Speed Rail Advisory Group, charged with part of the planning for a very fast train between Brisbane and Melbourne, was one of 20 government committees and councils identified to be wound up as part of the newly elected Abbott Government's initial efforts to cut costs and "ensure that the machinery of government is as efficient and as small as possible". However, the following month, former Deputy Prime Minister Warren Truss announced that the Coalition was committed to acquiring the land corridor identified by the previous government's study, and that he was personally seeking the co-operation of the premiers of Victoria, New South Wales and Queensland, and the Chief Minister of the ACT. The Labor Party indicated it would support the move.
He described the culpable advert, and then said, > "Many thousand Carbolic Smoke Balls were sold on these advertisements, but > only three people claimed the reward of £100, thus proving conclusively that > this invaluable remedy will prevent and cure the above mentioned diseases. > The CARBOLIC SMOKE BALL COMPANY LTD. now offer £200 REWARD to the person who > purchases a Carbolic Smoke Ball and afterwards contracts any of the > following diseases..." In the advertisement's small print were some restrictive conditions, with a period of 3 months to use the ball and claim, showing that legal advice had been adhered to. Mr. Roe left the management of the new company to other new subscribers and directors, who did not pursue such an aggressive advertising policy. By 1895 the company had fallen on harder times, and it had to be wound up in 1896.
The administrator is also required to investigate the affairs of the company and consider any possible causes of action and report to creditors. As soon as practicable after the administration of a company begins, the administrator must:. # investigate the company's business, property, affairs and financial circumstances; and # form an opinion about each of the following matters: ## whether it would be in the interests of the company's creditors for the company to execute a deed of company arrangement; ## whether it would be in the creditors' interests for the administration to end; ## whether it would be in the creditors' interests for the company to be wound up. In carrying out these tasks the administrator acts as agent of the company.. As such, the administrator has broad powers to deal with the company's property and carry on the company's business.
Powell advocated a policy of integration for Northern Ireland whereby all forms of devolution would be wound up and the province governed as an integral part of the United Kingdom. As part of this he campaigned for the province to have the same ratio of MPs to population as in the rest of the United Kingdom, rather than fewer, which had previously been justified due to the existence of the devolved Stormont Parliament. Powell was successful in this but a side effect was that in his own constituency a significant block of unionist voters were removed, resulting in a nationalist majority. Powell managed to survive for two election cycles due to a split nationalist vote, but in 1987 he narrowly lost to Eddie McGrady of the Social Democratic and Labour Party, who held the seat until retiring in 2010.
The Guardian is part of the Guardian Media Group (GMG) of newspapers, radio stations and print media, including; The Observer Sunday newspaper, The Guardian Weekly international newspaper, and new media—Guardian Abroad website, and guardian.co.uk. All the aforementioned were owned by The Scott Trust, a charitable foundation existing between 1936 and 2008, which aimed to ensure the paper's editorial independence in perpetuity, maintaining its financial health in order to ensure it did not become vulnerable to takeovers by for-profit media groups. At the beginning of October 2008, the Scott Trusts assets were transferred to a new limited company, The Scott Trust Limited, with the intention being that the original trust would be wound up. Dame Liz Forgan, chair of the Scott Trust, reassured staff that the purposes of the new company remained the same as under the previous arrangements.
The first series (Anime Oyako Gekijo) began at the home of a young boy named Christopher "Chris" Peepers (Sho Asuka in Japanese) who discovers the ancient bible named Superbook (Time/Space Travel Book) that book can speaks and sends him, his friend Joyeux "Joy" Quantum (Azusa Yamato), and his clockwork toy figure namely Gizmo the Crusader Robot (Zenmaijikake) back in time to the early events of the Old Testament. Somehow, Gizmo transforms the toy into a real-life robot that can walk and talk for the duration of the adventure, although he still needs to be wound up regularly. In the first episode, Chris and Joy were cleaning the attic for Chris's father, a somewhat eccentric college professor, when they noticed an old book glowing. The children tried to open the book, but were unable to open it, no matter how hard they pulled.
Somerset cricket was not very successful in the first decade of the 20th century, and the team was composed of a few professionals of mixed ability, a handful of talented amateurs and a steady procession of mostly ineffectual "country house" cricketers. After Woods retired from the captaincy in 1906, Lionel Palairet, opening batsman and Test player, who had played for Somerset since the county side's elevation to first-class status in 1891, took over for 1907. But at the end of the season, with the county club's finances in disarray and fixtures with several other counties under threat, Palairet told an acrimonious annual meeting of the club that he was not willing to continue. It appeared possible that the county would be wound up, but Daniell, newly returned to England and back as the protégé of Woods, who remained county secretary, agreed to take on the captaincy for 1908.
That officer reported that it had been doing a losing business for several years, was insolvent within the meaning of the statute, and that immediate steps should be taken to appoint a receiver, to the end that the affairs of the company be wound up as quickly as possible, as being for the best interests of its policyholders. As the result of that examination, the present proceedings were commenced by the auditor in the Circuit Court of Cook County under the said act of 1874. The petition filed by him shows that in his opinion the condition of the company rendered its further continuance in business hazardous to the insured. He prayed that the company be enjoined from further prosecuting its business; that a receiver be appointed to take charge of its real estate and effects, and that such other relief be granted as should be meet.
Typically, the affidavit grounding the application for an extension will indicate that the examiner is in negotiations with one or more proposed investors and, on that basis, he believes that he will be able to formulate proposals for a scheme of arrangement. Importantly, if, at any stage, the examiner forms the view that the company no longer has a reasonable prospect of survival, he should make an application to the High Court pursuant to section 18(9) of the Companies (Amendment) Act 1990section 18(9) of the Companies (Amendment) Act 1990As inserted by section 22 of the Companies (Amendment) No. 2 Act 1999 for directions and the court may, on such application, give such directions or make whatever order it thinks fit, including an order discharging the examiner, lifting the protection of the court and directing that the company be wound up. Any delay in making any such application may adversely impact on the examiner's subsequent application for payment of his remuneration.
It was alleged that the deal with Airlink was a foregone conclusion from the beginning of the process, and that other airlines had been invited to submit bids to create and illusion of fair and equitable processes. The Sunday Standard also revealed that the blueprint for the privatisation of the airline was written by Airlink CEO Roger Foster, and was used by Botswana in its negotiations with the airline, in contravention of the Botswana Privatisation Policy of 2003. As part of the proposed deal with Airlink, it announced that Air Botswana would be wound up, and a new airline to be known as Botswana Airlink would be formed, with the government holding a controlling 50.1% share and the South African airline holding the remaining 49.9%. The new airline would have disposed of the 46-seat ATR 42s, and would instead operate 29-seat BAe Jetstream 41s, which are more suited to low traffic domestic routes.
The T. S. Eliot Prize for Poetry is a prize that was, for many years, awarded by the Poetry Book Society (UK) to "the best collection of new verse in English first published in the UK or the Republic of Ireland" in any particular year. The Prize was inaugurated in 1993 in celebration of the Poetry Book Society's 40th birthday and in honour of its founding poet, T. S. Eliot. Since its inception, the prize money was donated by Eliot's widow, Mrs Valerie Eliot and more recently it has been given by the T S Eliot Estate. The T S Eliot Foundation took over the running of the T S Eliot Prize in 2016, appointing Chris Holifield, formerly director of the Poetry Book Society as its new director, when the former Poetry Book Society charity had to be wound up, with its book club and company name taken over by book sales agency Inpress Ltd in Newcastle.
With the recruitment of Robert Brown from Sheffield Wednesday, as Portsmouth's fourth manager, the team finished second place in the 1911–12 Southern Football League Division Two behind Merthyr Town and were promoted as runners-up. However, the club's finances were in trouble again, with losses and debts increasing to £10,000. A shareholders meeting was called on 8 May 1912, where George Lewin Oliver, one of the original founders and directors, proposed that "The Portsmouth Football and Athletic Company" should be wound up and replaced with a more business orientated company. The original company was then liquidated to remove the debt and on 27 July 1912, the "Portsmouth Football Club Ltd" was formed as the new parent company of Portsmouth F.C., with substantial financial guarantees given by the board of directors. The original 1898 founding director George Lewin Oliver became the new Portsmouth F.C. chairman. For the new 1912–13 Southern Football League season back in Division One, Portsmouth, now under new ownership, wore new home colours of blue shirts, white shorts and black stockings.
He discovered that Kempe and Matthews had never assigned their original lease to the company. As Kempe had died, and Matthews was "insane", this presented a problem, but somehow he managed to resolve it, and sold the lease to two of the shareholders, Betteley and Gillow, for £850, the latter a doctor from Torquay. Map of the quarry in 1919, showing the mill (centre), the access tramway (right) and the levels (left) Another company, the New Conglog Slate and Slab Company Ltd, was created, and bought the lease from Betteley and Gillow for £2,000. The capital was raised by issuing 80 shares valued at £25 each, and Gillow bought 65 of them. Horswill became the secretary of the new company, but after just four years, he recommended in 1885 that it too should be wound up, and another company formed to take it over. Roberts, who still held the primary lease, offered to alter its terms in 1886, but it is unclear whether this happened. In 1889, the 21-year lease ran out, and Roberts negotiated with the company for its renewal and extension.
